1. INTRODUCTION

These Terms of Service ("Terms") govern your access to and use of the VoxIQ website, software platform, consulting services, digital marketing services, and any related products or services (collectively, the "Services").

By accessing, purchasing, subscribing to, or using any VoxIQ Services, you agree to be legally bound by these Terms.

If you do not agree with these Terms, you must not access or use the Services.


2. DEFINITIONS

Throughout these Terms:

"VoxIQ", "we", "our", and "us" refer to VoxIQ.

"User", "Customer", or "you" refers to any person or organisation using the Services.

"Platform" means the VoxIQ software platform and associated applications.

"Subscription" means any recurring monthly or annual service plan.

"Digital Marketing Services" means any marketing, content creation, advertising, management, consulting, photography, videography, editing, or related services provided by VoxIQ.

"Content" means any text, files, images, videos, data, information, prompts, branding, advertisements, or materials uploaded, submitted, or provided by a User.


3. ACCEPTANCE OF THESE TERMS

By creating an account, purchasing a subscription, placing an order, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Where you are acting on behalf of a business, you confirm that you have authority to bind that business to these Terms.


4. ELIGIBILITY AND ACCOUNTS

You must:

- Be at least 16 years old;

- Possess legal capacity to enter into contracts;

- Provide accurate account information;

- Maintain the security of your account credentials.

You are responsible for all activity conducted through your account.

You must immediately notify VoxIQ of any unauthorised access or security breach involving your account.


5. VOXIQ SERVICES

VoxIQ provides access to a business software platform that may include features such as:

- Customer relationship management (CRM);

- Lead management;

- Marketing automation;

- Email marketing;

- SMS marketing;

- Website and funnel builders;

- Appointment booking systems;

- Calendar management;

- Contact management;

- Workflow automation;

- Reputation management;

- Social media scheduling;

- Reporting and analytics;

- Forms and surveys;

- Membership and course delivery;

- Invoicing and payment collection;

- Business communication tools;

- AI-powered productivity tools;

- Additional software tools and integrations.

Features may be added, modified, restricted, or removed at any time.

Nothing in these Terms guarantees the availability of any specific feature.


6. SUBSCRIPTION PLANS

VoxIQ may offer subscription plans including but not limited to:

- Taster

- Growth

- Professional

- Concierge

Subscription pricing, included features, and usage allowances are displayed on the website and may be updated from time to time.

Subscriptions automatically renew unless cancelled before the next billing date.

Customers are responsible for reviewing pricing and subscription details before purchase.

Additional usage-based charges may apply where usage exceeds plan limits or where third-party service costs are incurred.


7. DIGITAL MARKETING SERVICES

VoxIQ may provide digital marketing services including:

- Social media management;

- Content creation;

- Paid advertising campaigns;

- Marketing consulting;

- Photography;

- Videography;

- Content editing;

- Branding services;

- Marketing strategy development;

- Related creative and marketing services.

Digital marketing packages may include:

- Basic Digital Marketing

- Standard Digital Marketing

- Comprehensive Digital Marketing

Specific deliverables, timelines, and performance expectations may be agreed separately between VoxIQ and the customer.

Unless expressly agreed in writing, VoxIQ does not guarantee any particular commercial result, revenue increase, lead volume, advertising performance, or return on investment.


8. CONSULTING SERVICES

VoxIQ may provide setup assistance, implementation support, operational consulting, training, and related advisory services.

Any recommendations provided by VoxIQ are informational in nature and remain the responsibility of the customer to evaluate and implement.

Customers remain solely responsible for business decisions made using advice, recommendations, reports, or insights provided by VoxIQ.


9. PAYMENTS AND BILLING

Some third-party providers may process data outside the United Kingdom or European Economic Area (EEA).

Payments may be processed through third-party payment providers.

By purchasing Services, you authorise VoxIQ to collect all applicable fees and charges.

Subscription fees are billed in advance on a recurring basis.

Annual subscriptions are billed annually in advance.

Usage-based charges may be billed separately.

Failure to pay fees when due may result in suspension or termination of Services.

All fees are non-refundable except where explicitly stated in these Terms or required by law.


10. REFUND POLICY

Digital Marketing Plans

For first-time purchasers of:

- Basic Digital Marketing

- Standard Digital Marketing

- Comprehensive Digital Marketing

- Concierge

refund requests may be considered within twenty-eight (28) days of the initial successful payment where:

The customer can demonstrate that the platform has not been used; or

VoxIQ has failed to deliver a specifically promised service agreed in writing for a custom package.

Taster, Growth and Professional Plans

Refund requests for first-time purchasers of:

- Taster

- Growth

- Professional

must be submitted within fourteen (14) days of the first successful payment transaction.

Refund eligibility is determined solely by VoxIQ after review of account activity and supporting evidence.

Refunds do not apply to renewal payments unless required by applicable law.


11. ACCOUNT SUSPENSION AND TERMINATION

VoxIQ may suspend or restrict access immediately where:

- Payment fails;

- Fraud is suspected;

- Abuse occurs;

- Security risks arise;

- These Terms are breached.

VoxIQ may terminate accounts with reasonable cause, including contractual breaches, illegal activity, or misuse of the Services.

Termination does not relieve any obligation to pay outstanding fees.


12. ACCEPTABLE USE POLICY

Users must not:

- Violate any law or regulation;

- Send spam or unsolicited communications;

- Harass, threaten, or abuse others;

- Infringe intellectual property rights;

- Upload malicious code;

- Attempt unauthorised access to accounts or systems;

- Reverse engineer the platform;

- Scrape data without permission;

- Use the Services to build competing products;

- Use the Services to train competing artificial intelligence systems;

- Interfere with platform operations.

Violations may result in immediate suspension or termination.


13. INTELLECTUAL PROPERTY

All intellectual property rights in the Services remain the property of VoxIQ or its licensors.

Customers receive a limited, non-exclusive, non-transferable licence to use the Services during an active subscription.

For custom project work:

- VoxIQ retains ownership of its proprietary tools, methodologies, templates, systems, and know-how.

- Ownership of final deliverables may transfer to the customer upon full payment where agreed in writing.

- Unless otherwise agreed, VoxIQ retains ownership of all underlying intellectual property.


14. USER CONTENT

Customers retain ownership of their Content.

By uploading Content, you grant VoxIQ a worldwide, non-exclusive licence to:

- Store;

- Process;

- Display;

- Modify where necessary;

- Use such Content to provide Services and improve system functionality.

Customers warrant they possess all necessary rights to submit their Content.


15. SERVICE AVAILABILITY

Services are provided on an "as available" and "as is" basis.

VoxIQ does not guarantee uninterrupted availability.

Maintenance, upgrades, security updates, and infrastructure changes may cause temporary interruptions.

VoxIQ may schedule maintenance windows without prior notice where reasonably necessary.


16. LIMITATION OF LIABILITY

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

To the fullest extent permitted by law:

- VoxIQ shall not be liable for indirect, incidental, consequential, special, or punitive damages.

- VoxIQ shall not be liable for loss of profits, revenue, business opportunities, goodwill, or data.

The total aggregate liability of VoxIQ arising from or related to the Services shall not exceed the total amount paid by the customer to VoxIQ during the twelve (12) months immediately preceding the event giving rise to the claim.


17. CHARGEBACKS AND PAYMENT DISPUTES

Fraudulent chargebacks are prohibited.

Customers agree to contact VoxIQ before initiating payment disputes where possible.

Accounts may be suspended while payment disputes are investigated.

VoxIQ reserves the right to submit evidence to payment processors and financial institutions in response to disputed transactions.


18. PORTFOLIO RIGHTS

Unless otherwise agreed in writing, VoxIQ may:

- Identify customers as clients;

- Display client logos;

- Display completed work in portfolios;

- Reference publicly available project outcomes.

VoxIQ will obtain customer consent before publishing case studies containing confidential, proprietary, or sensitive information.


19. DATA PROTECTION AND PRIVACY

Personal data is processed in accordance with VoxIQ's Privacy Policy.

Customers remain responsible for ensuring that any personal data they upload or process through the Services is collected and used lawfully.


20. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
